These Terms of Sale ("Terms") are a binding contract between NRL 2027 LLC, a limited liability company organized in the State of Wyoming, operating the website https://nalulabs.co under the brand name "Nalu Labs" ("we", "us", or "our"), and you, the visitor or customer ("you"). By creating an account or placing an order, you agree to these Terms. If you do not agree, do not use the site.

These Terms incorporate our Privacy Policy and Research Use Policy. Shipping, refunds, and how to contact us are in this document.

1. Eligibility

You represent and warrant that:

a. You are at least twenty-one (21) years of age. b. You have the legal capacity to enter into a binding contract in your jurisdiction. c. You are a qualified researcher, a research student working under qualified supervision, or you are purchasing on behalf of a research organization. d. You will not use any product purchased on this site for human or animal consumption or for any non-research purpose. e. You are not on any U.S. or state-level denied-party, sanctions, or restricted-persons list.

Submitting false eligibility information is a material breach of these Terms.

2. Research Use Only

All research material sold on this site is supplied for laboratory research only. It is not a drug, dietary supplement, food, cosmetic, or medical device, and it has not been approved by the FDA, USDA, DEA, or any other regulatory body for human or animal use. By placing an order, you accept the Research Use Policy.

3. Research-use restrictions

All materials are sold exclusively for laboratory research and analytical use by qualified research customers. Products are not for human or animal consumption, therapeutic use, clinical use, diagnostic use, dietary supplementation, dosing, injection, ingestion, or administration of any kind. Lot documentation is not a representation that any material will produce a specific research result.

4. Account Registration

An account is required to view the catalog and to place an order. There is no guest checkout. Registration requires your name, email, and password, and a separate acceptance of each attestation: you are 21 or older; laboratory research use only; not for human or animal consumption (not drugs, supplements, or food); agreement to these Terms and the Research Use Policy; and full responsibility for complying with applicable laws. We record the agreement version, the time you accepted it, your IP address, and your user agent. If we publish a new agreement version, you must accept it before the next order. You are responsible for activity under your account and for safeguarding your credentials. Notify us immediately at team@nalulabs.co of any unauthorized use.

5. Orders, Pricing, and Acceptance

a. Offer and acceptance. Submitting an order is an offer to purchase. Your order is accepted when we ship the product or, if earlier, when we send an order-acceptance email. We may decline, cancel, or limit any order at our sole discretion, including for suspected fraud, suspected diversion, processor flag, address verification failure, denied-party screening hit, or shipment to a restricted jurisdiction. b. Pricing. All prices are in U.S. dollars and do not include applicable taxes, duties, or shipping. We may correct pricing errors, including after an order is placed, and refund or cancel any order priced in error. c. Payment. You authorize us and our payment processor to charge the payment method you provide for the full order amount, including any applicable taxes and shipping. You represent that you are the authorized cardholder. d. Currency conversion and bank fees. Conversion charges or foreign-transaction fees imposed by your card issuer are your responsibility.

6. Shipping and Risk of Loss

We ship to physical addresses in the United States. We do not ship to P.O. boxes, U.S. territories, APO/FPO/DPO addresses, freight forwarders, or any international address. Orders to a restricted address are cancelled and refunded. Orders are packed on business days. You receive an order confirmation when checkout completes, and a separate email with tracking when the carrier scans the package. Transit time is the carrier's estimate and is not guaranteed.

Free shipping on orders over $200. Orders under that amount ship for a flat $9.95. Sales tax is collected where required and itemized at checkout.

Packaging is plain. The outer label does not list the research material inside. Title and risk of loss transfer to you when the package is handed to the carrier. We cannot reroute a package in transit. If a delivery scan says delivered and the package is missing, or the package arrives damaged, or we shipped the wrong item, email team@nalulabs.co within seven (7) days of the delivery scan with the order number and photos where relevant.

7. Returns and Refunds

All sales are final. We do not accept returns or exchanges once an order has shipped, except the limited cases below.

If we shipped the wrong item or quantity, email team@nalulabs.co within seven (7) days with the order number and photos. We will ship the correct item or refund the affected portion. If damage clearly occurred in transit and is confirmed, we may re-ship the affected items or refund that portion. Refusing a package does not create a refund. If a package returns because the address you gave was incorrect, we refund the product cost minus the original shipping charge and a $15 handling fee, or we re-ship to a corrected address at your expense.

If an order has not entered processing, we cancel and refund it in full. If it is in processing and has not shipped, we may cancel and refund minus the payment-processor fee. Once shipped, an order cannot be cancelled.

Approved refunds go back to the original payment method within five (5) business days of approval. Your card issuer may take additional time to show the credit.

8. Restricted Jurisdictions and Export

We ship only within the United States (all 50 states) and do not ship to any U.S. state or territory restricted by applicable law or by our payment processor; the current restricted list is maintained by Nalu Labs and enforced automatically at checkout. We do not ship internationally. You may not export, re-export, or arrange the export of any product purchased on this site without complying with all applicable U.S. and foreign export-control laws.

9. Intellectual Property

All content on this site, including text, graphics, logos, icons, images, product descriptions, photographs, video, audio, and software, is the property of Nalu Labs or its licensors and is protected by U.S. and international copyright, trademark, and trade-dress laws. You may not copy, reproduce, distribute, modify, sell, or create derivative works from any content on this site without our prior written consent. You receive a limited, revocable, non-exclusive, non-transferable license to view the content for your personal, non-commercial use only.

The names "Nalu Labs", the site logo, and any associated product names are trademarks of Nalu Labs. All other trademarks referenced on the site are the property of their respective owners.

10. User Content

If you submit comments, photographs, COA images, or any other content to the site or to us through any channel ("User Content"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in any medium. You represent that you own or have all necessary rights to the User Content you submit, and that it does not infringe any third-party right, violate any law, or describe human or animal consumption, therapeutic use, clinical use, diagnostic use, dietary supplementation, or administration. We may remove any User Content at our sole discretion and without notice.

11. Prohibited Conduct

You agree not to:

a. Use the site for any unlawful purpose or in violation of these Terms. b. Resell, repackage, relabel, or redistribute any product in a manner that obscures the research-use-only classification or implies human or animal use. c. Make false age, eligibility, payment, or shipping representations. d. Attempt to access any non-public portion of the site, our infrastructure, or any other user's account. e. Use any automated means (bot, scraper, crawler) to access the site, other than well-behaved search-engine crawlers respecting robots.txt. f. Reverse-engineer, decompile, or disassemble any portion of the site or its software. g. Submit any comment or User Content that describes human or animal consumption, therapeutic use, clinical use, diagnostic use, dietary supplementation, or administration.

Violation of this Section 11 may result in immediate account termination, order cancellation, and where authorized by law, civil recovery.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

a. Any product is fit for any specific research purpose, application, or experimental design; b. Any product will achieve any particular result, yield, or biological effect; c. The Certificates of Analysis ("COAs") provided are accurate beyond the methodology and limits stated on the COA itself by the issuing third-party laboratory; d. The site will be uninterrupted, secure, or error-free, or that defects will be corrected; e. The site or any content is free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed under applicable law, the duration of any such warranty is limited to ninety (90) days from the date of delivery.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

a. IN NO EVENT WILL Nalu Labs, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, ANY PRODUCT, OR YOUR USE OR INABILITY TO USE THE SITE OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, WILL NOT EXCEED THE GREATER OF (i) ONE HUNDRED U.S. DOLLARS ($100), OR (ii) THE TOTAL AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

c. WE ARE NOT LIABLE FOR ANY HARM ARISING FROM USE OF A PRODUCT IN A MANNER INCONSISTENT WITH ITS RESEARCH-USE-ONLY CLASSIFICATION, INCLUDING HUMAN OR ANIMAL CONSUMPTION OR ANY THERAPEUTIC, CLINICAL, DIAGNOSTIC, OR ADMINISTRATION USE.

Some jurisdictions do not allow certain limitations of liability. To the extent any limitation is unenforceable, our liability is limited to the smallest amount permitted by applicable law.

14. Indemnification

You will defend, indemnify, and hold harmless Nalu Labs, its members, officers, employees, contractors, agents, and suppliers from and against any claim, demand, action, loss, damage, liability, cost, or expense, including reasonable attorneys' fees, arising out of or related to (a) your breach of these Terms, (b) your use or misuse of the site or any product, (c) your violation of any law or third-party right, (d) any human or animal consumption of any product purchased from us, or (e) any false representation of age, eligibility, or shipping destination.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution: Binding Arbitration; Class-Action Waiver

Please read this Section carefully. It affects your legal rights.

a. Informal resolution first. Before initiating arbitration, you agree to first contact us at team@nalulabs.co and attempt in good faith to resolve any dispute informally for at least sixty (60) days.

b. Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the site, or any product that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or the Comprehensive Rules for claims over $250,000), as in effect at the time the arbitration is commenced. The seat of arbitration is Sheridan, Wyoming. The arbitrator's award will be final and binding and may be entered in any court of competent jurisdiction.

c. Class-action waiver. You and we agree that any arbitration or claim will be conducted only on an individual basis and not as a class, collective, mass, consolidated, or representative action. The arbitrator may not consolidate the claims of multiple parties or preside over any form of representative or class proceeding. If a court determines this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in a court of competent jurisdiction, while the remainder of the arbitration provision continues in effect.

d. Small-claims carve-out. Either party may bring an individual action in small-claims court located in Sheridan County, Wyoming, for any claim within that court's jurisdiction, in lieu of arbitration.

e. Injunctive relief carve-out. Either party may seek injunctive relief in a court of competent jurisdiction in Wyoming to protect intellectual-property rights pending the outcome of arbitration.

f. 30-day right to opt out. You may opt out of the arbitration and class-action waiver provisions of this Section 16 by emailing team@nalulabs.co with the subject line "Arbitration Opt-Out" within thirty (30) days of your first order. Your opt-out must include your full legal name, the email address on file, and the date of your first order. If you do not opt out within that period, you are bound by this Section.

17. Changes to These Terms

We may revise these Terms from time to time. The revised version will be posted at this URL with an updated "Last updated" date. Material changes will be communicated to account holders by email at least fifteen (15) days before they take effect. Your continued use of the site after a revision becomes effective constitutes acceptance of the revised Terms.

18. Termination

We may suspend or terminate your access to the site or your account at any time, with or without cause, with or without notice. The provisions of Sections 2, 3, 7, 9, 10, 12, 13, 14, 15, 16, and this Section 18 survive any termination of these Terms.

19. Force Majeure

We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, regulatory change, carrier delay, processor termination, supplier failure, internet or hosting outage, or labor disruption.

20. Miscellaneous

a. Entire agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the subject matter, and supersede all prior or contemporaneous communications. b. Severability. If any provision is held unenforceable, the remaining provisions remain in full force. c. No waiver. Our failure to enforce any right is not a waiver of that right. d. Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. e. Headings. Section headings are for convenience only and do not affect interpretation. f.
